These Terms of Service ("Terms") govern your access to and use of the website, online store, and related services (collectively, the "Services") operated by Covert Drones LLC, a Florida limited liability company ("Covert Drones," "we," "us," or "our"). By accessing, browsing, or using the Services, or by placing an order with Covert Drones, you ("you" or "Buyer") agree to be legally bound by these Terms and our Privacy Policy.

READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER (SECTION 22), LIMITATIONS ON LIABILITY (SECTION 19), DISCLAIMERS OF WARRANTY (SECTION 18), AND OTHER PROVISIONS THAT AFFECT YOUR LEGAL RIGHTS.

If you do not agree to these Terms, do not access or use the Services and do not place an order with Covert Drones.

SECTION 1 — ELIGIBILITY AND ACCOUNT

You represent that you are at least the age of majority in your state or province of residence and have the legal capacity to enter into a binding contract. If you are using the Services on behalf of an organization, agency, or business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "Buyer" refer both to you individually and to that entity.

You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. You may not transfer, sell, assign, or license your account. You agree to provide accurate, current, and complete information when creating an account or placing an order, and to promptly update such information as needed.

SECTION 2 — NATURE OF PRODUCTS AND COMMERCIAL USE

Covert Drones sells enterprise-grade unmanned aerial systems ("UAS" or "drones"), accessories, components, software, and related services. Products sold through the Services are intended for use by qualified operators in compliance with all applicable federal, state, and local laws, including FAA regulations under 14 CFR Part 107 and any applicable agency authorizations.

You acknowledge that products sold by Covert Drones may be used for commercial, governmental, agency, public safety, surveying, mapping, inspection, wildlife management, search and rescue, and other professional applications. Commercial and agency use is expressly permitted under these Terms.

You are solely responsible for: (i) determining whether a product is appropriate for your intended use; (ii) obtaining all required licenses, certifications, waivers, authorizations, and registrations to operate the product lawfully; (iii) complying with all applicable laws and regulations governing the operation of the product, including but not limited to airspace regulations, privacy laws, and export control laws; and (iv) the safe and lawful operation of any product purchased from Covert Drones.

SECTION 3 — DJI PRODUCTS AND ACTIVATION STATUS

Covert Drones is an independent reseller of DJI enterprise drone products. Covert Drones is not an authorized DJI dealer, is not affiliated with DJI, and does not represent DJI in any official capacity.

Products sold by Covert Drones are unused, activated enterprise units. These units have been activated prior to resale but have not been flown and remain fully functional and ready to bind to the Buyer's DJI account upon setup. Activation status is disclosed prior to purchase and on individual product pages.

Because of activation status:

• Units are not eligible for DJI Enterprise Care and may not be covered under DJI's U.S. warranty programs
• DJI may still service and repair these units as paid repairs
• CPS Drone Protection is offered at checkout as an alternative coverage option

You acknowledge that you have read, understood, and accepted these conditions prior to placing your order, and you waive any claim against Covert Drones based on the assertion that you were not informed of activation status, warranty limitations, or the unavailability of DJI Enterprise Care.

SECTION 4 — FEDERAL FUNDING AND PROCUREMENT

You are solely responsible for verifying the eligibility of any drone purchase under your applicable funding source. As of December 22, 2025, FAR 52.240-1 restricts the use of federal funds (including federal grant pass-through funds such as SHSP, UASI, AFG, EMPG, and Byrne-JAG) for the procurement of certain manufacturers' products, including DJI. Covert Drones makes no representation that any product is eligible for purchase using federal funds. Buyers using federal, state, agency, or grant funds are solely responsible for confirming compliance with their funding source's requirements prior to purchase.

SECTION 5 — ORDERS, ACCEPTANCE, AND CANCELLATION

When you place an order, you are making an offer to purchase. Covert Drones reserves the right to accept or decline any order, in whole or in part, for any reason, at our sole discretion. Your order is not accepted until Covert Drones confirms acceptance and successfully processes payment. We may decline orders we believe pose elevated fraud risk, are placed by parties on restricted-party lists, would violate applicable law, or for any other reason.

Order cancellations are governed by our Refund Policy. Returns and exchanges are subject solely to the terms of the Refund Policy.

SECTION 6 — PRICES, PAYMENT, AND BILLING

All prices are listed in U.S. dollars unless otherwise noted. Prices, discounts, and promotions are subject to change without notice. The price charged is the price in effect at the time the order is accepted. Posted prices do not include applicable taxes, shipping, handling, customs, duties, or import charges unless expressly stated.

You authorize Covert Drones to charge the payment method you provide for the total amount of your order, including applicable taxes and shipping. You represent and warrant that: (i) the payment information you provide is true, correct, and complete; (ii) you are duly authorized to use the payment method; (iii) charges incurred will be honored by your card issuer or bank; and (iv) you will pay all charges at the posted prices, including applicable taxes and fees.

Qualified law enforcement, fire, government agencies, and businesses may be approved for Net 30 payment terms at Covert Drones' discretion. Net 30 terms are governed by the terms set forth on the applicable invoice or Purchase Order.

SECTION 7 — SHIPPING, DELIVERY, AND RISK OF LOSS

Standard delivery is estimated at 5 to 7 business days from order acceptance, subject to product availability, carrier performance, and conditions outside our control. All delivery times are estimates and are not guaranteed. Covert Drones is not liable for shipping or delivery delays caused by carriers, customs processing, weather, force majeure events, or any cause outside our reasonable control.

Title and risk of loss for all products pass to Buyer upon transfer to the carrier (F.O.B. shipping point). Buyer is responsible for filing any claims with the carrier for loss or damage in transit, except as expressly covered under our Refund Policy.

Lithium-ion batteries shipped with drone products are classified as hazardous materials (UN3481) and are subject to all applicable hazmat shipping regulations.

SECTION 8 — EXPORT CONTROL AND COMPLIANCE

Products sold by Covert Drones may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR). You agree to comply with all applicable export control laws and regulations. You represent and warrant that: (i) you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo or trade restrictions; (ii) you are not on any U.S. government restricted-party list, including the Specially Designated Nationals (SDN) list, the Entity List, or the Denied Persons List; (iii) you will not export, re-export, or transfer any product purchased from Covert Drones in violation of applicable export control laws; and (iv) you will not use any product purchased from Covert Drones for any purpose prohibited by U.S. law, including weapons proliferation or unauthorized military end use.

SECTION 9 — FAA AND OPERATIONAL COMPLIANCE

You acknowledge that the operation of unmanned aircraft systems in the United States is governed by FAA regulations, including 14 CFR Part 107 for commercial operations, FAA Remote ID requirements, and applicable airspace authorizations. You are solely responsible for: (i) holding any required FAA certifications, including Remote Pilot Certificate where applicable; (ii) registering your aircraft as required; (iii) operating within authorized airspace; (iv) complying with all FAA Notices to Air Missions (NOTAMs), Temporary Flight Restrictions (TFRs), and other airspace requirements; and (v) compliance with all state, local, and tribal laws governing UAS operation.

Covert Drones is not a flight school, training provider, or authorized FAA training entity. Any operational guidance, recommendations, or product information provided is general in nature and does not substitute for FAA-required training, certification, or operational planning.

SECTION 10 — PRODUCT DESCRIPTIONS AND ACCURACY

We make commercially reasonable efforts to provide accurate product descriptions, specifications, pricing, availability, and images. However, product appearance may differ from how it appears on your device due to screen settings, lighting, and configuration. We do not warrant that product descriptions, specifications, or other content on the Services is accurate, complete, reliable, current, or error-free. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel orders at any time without prior notice, including after an order has been submitted.

Product specifications are based on manufacturer-provided information and are subject to change by the manufacturer at any time. For mission-critical specifications, Buyers are strongly encouraged to verify directly with the manufacturer prior to purchase.

SECTION 11 — INTELLECTUAL PROPERTY

The Services, including all trademarks, brands, text, images, graphics, product descriptions, reviews, video, audio, software, and the design, selection, and arrangement thereof, are owned by Covert Drones, its affiliates, or its licensors and are protected by U.S. and international copyright, trademark, patent, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, business, agency, or commercial purposes related to evaluating and purchasing products from Covert Drones. You may not: (i) reproduce, duplicate, copy, scrape, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Services without our prior written consent; (ii) use any automated means, including bots, scrapers, or data extraction tools, to access or copy content from the Services; or (iii) use Covert Drones' name, trademarks, logos, or branding without our prior written permission.

All rights not expressly granted in these Terms are reserved by Covert Drones.

SECTION 12 — PROHIBITED USES

You agree not to use the Services to: (a) violate any applicable federal, state, local, or international law or regulation; (b) infringe upon or violate the intellectual property rights of Covert Drones or any third party; (c) harass, abuse, threaten, defame, or harm any person or entity; (d) transmit false, misleading, fraudulent, or deceptive information; (e) transmit unsolicited advertising, chain letters, spam, or other forms of solicitation; (f) impersonate any person or entity; (g) interfere with or disrupt the Services or any servers or networks connected to the Services; (h) attempt to gain unauthorized access to the Services, other accounts, or any computer systems or networks; (i) upload or transmit viruses, malware, or any other malicious code; (j) use any automated means to access, scrape, or extract data from the Services, including for the purpose of building competing services, training AI models, or aggregating product or pricing information; (k) circumvent or bypass any security or access control measures; or (l) use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party's use of the Services.

SECTION 13 — AUTOMATED AGENTS AND AI SYSTEMS

This section applies if you use, deploy, or cause to be deployed any software agent, bot, scraper, or AI system ("Agent") to access, use, or interact with the Services. No Agent may access the Services unless it: (i) identifies itself in all HTTP/HTTPS requests by including "Agent/[agent name]" in the user agent string; (ii) does not conceal or obfuscate that requests originate from an Agent; (iii) does not mimic human behavior to evade detection; (iv) does not circumvent CAPTCHAs, robot exclusion headers, rate limits, or other access controls; and (v) responds truthfully to any inquiry about whether interactions originate from a human or automated system.

You may not use Agents to scrape, copy, extract, or aggregate product information, pricing, descriptions, images, or other content from the Services for any purpose, including for the training of AI models, the operation of competing services, or the resale or republication of Covert Drones content.

Covert Drones reserves the right to block, limit, throttle, or terminate access from any Agent at any time, with or without notice.

SECTION 14 — THIRD-PARTY LINKS AND SERVICES

The Services may contain links or references to third-party websites, products, or services. Covert Drones does not endorse, control, or assume responsibility for any third-party content, products, or services. Your interactions with any third party are governed by that third party's terms and policies. Covert Drones is not liable for any loss, damage, or harm arising from your use of any third-party website, product, or service.

SECTION 15 — SHOPIFY RELATIONSHIP

The Services are powered by Shopify Inc. ("Shopify"). All sales and purchases made through the Services are made directly with Covert Drones, not with Shopify. You acknowledge and agree that Shopify is not responsible for any aspect of any transaction between you and Covert Drones, including any injury, damage, loss, or dispute resulting from purchased products or services. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your transactions with Covert Drones.

SECTION 16 — PRIVACY

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Services, you acknowledge that you have read and understood our Privacy Policy. Certain personal information may also be subject to Shopify's Privacy Policy.

SECTION 17 — FEEDBACK

Any ideas, suggestions, feedback, reviews, proposals, or other content you submit to Covert Drones ("Feedback") becomes the property of Covert Drones. You grant Covert Drones a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any purpose, including commercial use, without compensation to you. You represent and warrant that you own or control all rights necessary to grant this license, and that your Feedback does not violate the rights of any third party.

SECTION 18 — DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY STATED IN A WRITTEN AGREEMENT SIGNED BY COVERT DRONES, THE SERVICES AND ALL PRODUCTS SOLD THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY REPRESENTATION, WARRANTY, OR CONDITION OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, DURABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

COVERT DRONES DOES NOT WARRANT THAT: (I) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (II) ANY PRODUCT WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (III) ANY PRODUCT WILL PERFORM AS DESCRIBED IN ALL CONDITIONS; OR (IV) ANY DEFECTS WILL BE CORRECTED. ANY MANUFACTURER WARRANTY, IF APPLICABLE, IS PROVIDED SOLELY BY THE MANUFACTURER AND NOT BY COVERT DRONES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

SECTION 19 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COVERT DRONES, ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR PROPERTY DAMAGE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR ANY PRODUCTS PURCHASED, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF COVERT DRONES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

COVERT DRONES' TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THE SERVICES OR ANY PRODUCT PURCHASED THROUGH THE SERVICES SHALL NOT EXCEED THE GREATER OF: (I) THE AMOUNT YOU PAID TO COVERT DRONES FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (II) ONE HUNDRED U.S. DOLLARS ($100). THIS LIMITATION APPLIES IN THE AGGREGATE TO ALL CLAIMS OF ANY KIND.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU IN FULL.

SECTION 20 — INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Covert Drones, Shopify, and our and their respective affiliates, owners, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (i) your breach of these Terms or any document incorporated by reference; (ii) your violation of any law or the rights of a third party; (iii) your operation, use, or misuse of any product purchased from Covert Drones, including any injury, property damage, or regulatory violation arising from the operation of any drone or related equipment; (iv) your access to or use of the Services; or (v) any Feedback you submit.

Covert Drones reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

SECTION 21 — FORCE MAJEURE

Covert Drones is not liable for any delay, failure of performance, or interruption of the Services or fulfillment of any order caused by events outside our reasonable control, including without limitation: acts of God, natural disasters, severe weather, war, terrorism, civil unrest, government action, regulatory changes, sanctions, export restrictions, pandemics, public health emergencies, supply chain disruptions, manufacturer delays, labor disputes, carrier delays, customs holds, cyber attacks, internet or telecommunications failures, and power outages.

SECTION 22 — BINDING ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH COVERT DRONES AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.

22.1 Agreement to Arbitrate. You and Covert Drones agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, any product purchased, or your relationship with Covert Drones (collectively, "Disputes") shall be resolved by binding arbitration, rather than in court, except that either party may assert claims in small claims court if such claims qualify and remain in small claims court.

22.2 Arbitration Rules. The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the AAA Consumer Arbitration Rules then in effect (or the AAA Commercial Arbitration Rules for disputes involving commercial buyers), as modified by these Terms. The arbitration will be conducted by a single arbitrator. The arbitration will take place in Polk County, Florida, or, at your election, in the county where you reside.

22.3 Class Action Waiver. YOU AND COVERT DRONES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one party's claims and may not preside over any form of representative or class proceeding.

22.4 Opt-Out Right. You may opt out of this arbitration agreement by sending written notice to Covert Drones at sales@covertdrones.com within thirty (30) days of first accepting these Terms. The notice must include your name, address, order number (if any), and a clear statement that you wish to opt out of arbitration.

22.5 Severability of Class Action Waiver. If the class action waiver in Section 22.3 is found to be unenforceable in any respect, then the entirety of this Section 22 will be null and void, and the parties will be deemed to have not agreed to arbitrate Disputes.

22.6 Survival. This Section 22 survives the termination of these Terms and your relationship with Covert Drones.

SECTION 23 — GOVERNING LAW AND VENUE

These Terms and any disputes arising hereunder are governed by the laws of the State of Florida, without regard to its conflict of laws provisions. Subject to Section 22 (Arbitration), any action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Polk County, Florida, and you and Covert Drones consent to personal jurisdiction and venue in such courts.

SECTION 24 — LIMITATION ON TIME TO BRING CLAIMS

Any claim or cause of action arising out of or related to these Terms, the Services, or any product purchased must be filed within one (1) year after such claim or cause of action arose, or be permanently barred. This shortened limitation period does not apply to claims that cannot be shortened by contract under applicable law.

SECTION 25 — TERMINATION

Covert Drones may suspend, restrict, or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to violation of these Terms. You remain liable for all amounts owed up to and including the date of termination. The following sections survive any termination: Sections 2, 3, 4, 8, 11, 17, 18, 19, 20, 21, 22, 23, 24, and any other provisions that by their nature should survive.

SECTION 26 — CHANGES TO TERMS

Covert Drones reserves the right to modify these Terms at any time. We will post the updated Terms on this page with a revised "Last Updated" date. For material changes, we will provide additional notice as required by applicable law. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.

SECTION 27 — ASSIGNMENT

You may not assign, transfer, or delegate these Terms or any rights or obligations under these Terms without Covert Drones' prior written consent, and any attempted assignment without such consent is null and void. Covert Drones may assign or transfer these Terms and our rights and obligations without notice or consent.

SECTION 28 — SEVERABILITY

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the unenforceable portion shall be severed, with the remaining provisions remaining in full force and effect.

SECTION 29 — WAIVER AND ENTIRE AGREEMENT

The failure of Covert Drones to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, and any Purchase Order or written agreement signed by Covert Drones, constitute the entire agreement between you and Covert Drones regarding your use of the Services and supersede all prior agreements, communications, and proposals, whether oral or written.

SECTION 30 — HEADINGS AND INTERPRETATION

Section headings are for convenience only and do not affect the interpretation of these Terms. Any ambiguities in interpretation shall not be construed against the drafting party.
